Legal and Company Secretary

About the role

The Legal and Company Secretary will support VisionFund Rwanda PLC in meeting all legal and regulatory obligations. This role involves providing legal advice, drafting and reviewing contracts, managing litigation risk, and ensuring compliance with financial laws.

Key responsibilities

• Advise the Board of Directors on their responsibilities, powers, and relevant regulations.
• Prepare and keep accurate minutes of shareholders’ and Board meetings and maintain statutory registers.
• Ensure annual balance sheets and required documents are filed with the Registrar General and transmitted as required by law.
• Provide legal counsel to management to ensure compliance with local and international laws.
• Draft, negotiate, and review all legal agreements for the bank and advise on implications for VisionFund Rwanda PLC.
• Communicate with management and branch managers on actions needed for legal compliance.
• Establish record‑keeping and tracking systems and report on legal activity status.
• Monitor external counsel to ensure effective legal representation.
• Develop working relationships with user departments to deliver compliant legal solutions.
• Resolve disputes while safeguarding the company’s position and complying with legislation.

Required profile

• Bachelor Degree in Law.
• Minimum 3 years’ experience in a legal role within a financial institution.
